Terms of Service

1) Definitions and Acceptance

“Platform” refers to Osool Estate, “Company” refers to Osool PropTech Suite Company, and “User” refers to any person or entity using the platform. Your use constitutes agreement to these terms.

2) Eligibility and Account

• You are at least 18 and legally capable of entering into contracts.
• You agree to provide accurate information and keep credentials secure.
• If acting for a real estate entity, you confirm proper authorization and compliance with Saudi regulations.

3) Service Description and Changes

The platform provides tools for property, unit, lease, collections, maintenance, and analytics management. We may improve, change, or discontinue features with reasonable notice for material changes.

• The free trial lasts 15 calendar days, starts when the agency workspace is created, and requires no credit card. You may use your agency data or add an optional sample portfolio.
• An optional sample portfolio contains evaluation data only and does not authorize live external payment actions.
• Onboarding, migration, and training are optional professional services. They are not required to start the trial or use the agency workspace.

4) Subscriptions, Fees, and Taxes

• Service is offered on monthly or yearly subscriptions.
• When the free trial expires, agency data remains preserved while new operational actions are paused until a paid subscription begins.
• Fees are billed in advance and auto-renew unless cancelled before renewal.
• Public subscription prices include VAT unless a specific quote states otherwise. Government and third-party fees remain separate where applicable.
• If you request optional onboarding, migration, or training, one-time fees may apply depending on scope and are issued through a separate invoice before that professional service starts.
• Setup and professional-service fees are non-refundable once work starts or partial delivery occurs, unless the invoice or a written agreement states otherwise or applicable law requires otherwise.
• No refunds for unused periods unless stated otherwise or required by law.

5) Payments and E-Invoicing

• Payments are processed through compliant providers such as Moyasar and available Saudi payment methods. We do not store sensitive card data in our systems.
• Subscription payments are processed through the in-platform subscription flow. Setup, migration, and training fees may be collected through separate admin-issued invoices.
• You acknowledge e-invoicing obligations with ZATCA where applicable.
• We may issue e-invoices and notifications via email/in-app. You must keep contact details accurate.

6) Acceptable Use and Prohibitions

• Comply with Saudi regulations including real estate, cybercrime, and data protection laws.
• No unlawful activities, rights violations, or unauthorized access attempts.
• No abuse of interfaces, reverse engineering, or circumvention of security controls.
• No uploading illegal, harmful, or IP/Privacy-infringing content.

7) Intellectual Property and Content

• The Company retains all rights in the platform, including marks, software, and designs.
• You retain ownership of your content; you grant us a limited license to host/process it to deliver and improve the service.
• We may use aggregated/anonymized data for statistics and improvements without identification.

8) Privacy and Data Protection

Use of data is governed by our Privacy Policy aligned with Saudi PDPL. By using the service, you agree to that policy and are responsible for obtaining necessary consents from your end users. See Privacy Policy.

9) Third-Party Services

The platform may integrate with external services. We do not guarantee nor accept responsibility for those services, which are governed by their providers' terms.

10) Availability and Support

• Service is provided “as is” and “as available”; we use reasonable care to maintain availability.
• Planned/emergency maintenance may cause temporary downtime; we aim to notify where feasible.
• Support is provided per your subscription plan through published channels.

11) Disclaimer and Liability

• No express or implied warranties of error-free operation or fitness for a particular purpose.
• No liability for indirect or consequential losses, loss of profits or data.
• Maximum liability is limited to fees paid to us in the twelve months preceding the claim.

12) Indemnity

You agree to indemnify the Company and its personnel against claims or losses (including reasonable legal fees) arising from your breach of these terms or misuse of the platform.

13) Termination and Suspension

• We may suspend or terminate access for violations, security, or legal reasons.
• You may cancel in account settings; fees paid are non-refundable for the current period unless stated otherwise.
• IP, confidentiality, privacy, and liability clauses survive termination.

14) Governing Law and Jurisdiction

These terms are governed by the laws of the Kingdom of Saudi Arabia. Courts in Riyadh have jurisdiction unless an alternative lawful dispute resolution is mutually agreed.

15) Force Majeure

We are not liable for delays/failures due to events beyond reasonable control, including disasters, widespread outages, or government orders.

16) Changes to Terms

We may update these terms from time to time. Changes are effective upon posting on this page; material updates may be notified in-app.

17) Notices and Communication

• Our notices are effective when sent to your registered email or via in-app notifications.
